Terms of service
These terms are the agreement between you and Fieldproxy, Inc. ("DocuDeal", "we") for use of the DocuDeal service. By creating an account you accept them.
The service
DocuDeal drafts, prices, sends, tracks and stores business documents, and captures electronic signatures on them. Features differ by plan, and the current plans and limits are on our pricing page.
Your account
You are responsible for what happens under your account, including the actions of everyone you invite into your workspace. Keep your credentials secure and tell us promptly if you think they have been compromised. You must be able to form a binding contract to use it.
Your content is yours
You keep all rights in the documents, catalog, client records and files you put into DocuDeal. You grant us only the licence needed to run the service for you: to store the content, process it (including sending it to the model provider you select in order to draft and revise documents), and deliver it to the recipients you choose. We do not use your content to train models and we do not sell it.
You are responsible for having the right to use and send what you upload.
Plans, payment and cancellation
Paid plans are billed in advance through Stripe. Upgrades take effect immediately; downgrades take effect at the end of the current period. You can cancel at any time and will keep access until the end of the period you have paid for. Fees already paid are non-refundable except where the law requires otherwise.
Plan limits on documents per month and AI calls per day apply as published. Users are not metered. Where you collect payment from your own clients through DocuDeal, the platform fee shown on the pricing page applies in addition to the payment processor's own fees.
Acceptable use
You may not use DocuDeal to send unlawful, fraudulent, deceptive or infringing content; to impersonate another person or organisation; to forge or misrepresent a signature; to send unsolicited bulk messages; to attempt to gain unauthorised access to the service or another workspace; or to interfere with its operation. We may suspend an account that does.
Electronic signatures
DocuDeal captures electronic signatures and produces a record of them, including a cryptographic hash of the version signed and a certificate of completion. We do not warrant that any particular document is valid or enforceable in your jurisdiction, and we do not provide legal advice. Some documents cannot be signed electronically at all, including wills and many property transfers, and some require a notary. Deciding which applies to your document is your responsibility.
What the AI does and does not do
DocuDeal uses a language model to draft and revise document text. Model output can be wrong. You are responsible for reviewing every document before you send it. Monetary figures are computed by our own code from the catalog you configure rather than generated by a model, but the catalog itself is yours to get right.
The service does not review third-party contracts for legal risk and does not give legal, tax or financial advice.
Availability
We work to keep the service available but do not guarantee uninterrupted operation. We may change or discontinue features, and will give reasonable notice of material changes that reduce functionality on a paid plan.
Liability
To the maximum extent permitted by law, the service is provided "as is". We are not liable for indirect or consequential loss, or for lost profits, revenue, data or goodwill. Our total liability in any twelve-month period is limited to the amount you paid us in that period. Nothing in these terms limits liability that cannot lawfully be limited.
Termination
You can close your workspace at any time. We may suspend or terminate an account for breach of these terms or non-payment, with notice where practical. On termination you can export your data for 30 days before it is deleted.
Changes
We may update these terms. Material changes will be notified to account holders by email before they take effect, and continuing to use the service after that means you accept them.
Governing law
These terms are governed by the laws of Delaware, and the courts of Delaware have exclusive jurisdiction, without affecting mandatory consumer protections where you live.
